                     TERMS AND CONDITIONS OF USE<\/strong><\/h1>\n

These General Transaction Conditions (“GTC”) apply to Customers and Partners who use or book services at business facilities under the brand Hoi An Royal Beachfront Villas, and other brands owned, managed and\/or operated by Hoi An Royal Beachfront Villas (if any) (“Business Facilities”). Customers, Partners, and Hoi An Royal Beachfront Villas are each referred to individually as a \u2018Party\u2019 and collectively as the \u2018Parties.”<\/p>\n

<\/p>\n

Customers\/Partners agree and acknowledge that by submitting a booking request, table reservation, and\/or additional services request (collectively “Service Request”) to Hoi An Royal Beachfront Villas and having the service confirmed by Hoi An Royal Beachfront Villas, Customers and Partners have read and accepted the GTC and any amendments posted from time to time on the official website of Hoi An Royal Beachfront Villas at Ha My Dong A, Dien Ban, Quang Nam, and linked booking sites (if any) (“Website”), as well as service provision policies and service quotes notified and provided by Hoi An Royal Beachfront Villas from time to time.<\/p>\n

<\/p>\n

The GTC is an integral part of the contract, agreement for service provision or Service Request placed via the Website and confirmed between Hoi An Royal Beachfront Villas and Customers\/Partners (“Contract”).<\/p>\n

<\/p>\n

\u0110i\u1ec1u 1. \u0110\u1ecbnh Ngh\u0129a<\/strong><\/h2>\n

<\/p>\n

1.1. “Hoi An Royal Beachfront Villas” means VinaCapital Hoi An Tourism Co., Ltd., affiliated companies of VinaCapital Hoi An Tourism Co., Ltd., and branches, representative offices, business locations of Hoi An Royal Beachfront Villas and its affiliated companies established nationwide at any given time.<\/p>\n

<\/p>\n

1.2. “Partner” means travel agents\/tour operators\/businesses\/organizations or individuals entering into a Contract with Hoi An Royal Beachfront Villas.<\/p>\n

<\/p>\n

1.3. “Customer” means individuals using services of Hoi An Royal Beachfront Villas for direct consumption purposes, not for resale to other individuals or organizations.<\/p>\n

<\/p>\n

1.4. \u201cKh\u00e1ch L\u1ebb\u201d l\u00e0 Kh\u00e1ch h\u00e0ng ho\u1eb7c nh\u00f3m Kh\u00e1ch h\u00e0ng c\u00f3 s\u1ed1 l\u01b0\u1ee3ng \u0111\u1eb7t ph\u00f2ng t\u1ed1i \u0111a 9 ph\u00f2ng\/\u0111\u00eam ho\u1eb7c 9 bi\u1ec7t th\u1ef1\/\u0111\u00eam.<\/p>\n

1.5. \u201cKh\u00e1ch \u0110o\u00e0n\u201d l\u00e0 01 nh\u00f3m Kh\u00e1ch h\u00e0ng c\u00f3 s\u1ed1 l\u01b0\u1ee3ng \u0111\u1eb7t ph\u00f2ng t\u1eeb 9 ph\u00f2ng\/\u0111\u00eam tr\u1edf l\u00ean ho\u1eb7c t\u1eeb 9 bi\u1ec7t th\u1ef1\/\u0111\u00eam tr\u1edf l\u00ean v\u00e0\/ho\u1eb7c c\u00e1c d\u1ecbch v\u1ee5 (ti\u1ec7c, s\u1ef1 ki\u1ec7n v\u00e0 c\u00e1c d\u1ecbch v\u1ee5 kh\u00e1c).<\/p>\n

1.6. \u201cGi\u00e1 C\u00f4ng B\u1ed1\u201d l\u00e0 gi\u00e1 ph\u00f2ng\/bi\u1ec7t th\u1ef1, gi\u00e1 d\u1ecbch v\u1ee5 \u0111\u01b0\u1ee3c ni\u00eam y\u1ebft t\u1ea1i C\u01a1 S\u1edf Kinh Doanh v\u00e0 t\u1ea1i Trang Web m\u00e0 c\u00f3 th\u1ec3 thay \u0111\u1ed5i t\u00f9y t\u1eebng th\u1eddi \u0111i\u1ec3m.<\/p>\n

<\/p>\n

1.7. \u201cGi\u00e1 G\u00f3i Ph\u00f2ng\/Bi\u1ec7t Th\u1ef1\u201d l\u00e0 gi\u00e1 d\u00e0nh cho \u0111\u00eam ngh\u1ec9 k\u00e8m theo c\u00e1c d\u1ecbch v\u1ee5 \u0111\u01b0\u1ee3c li\u1ec7t k\u00ea trong G\u00f3i Ph\u00f2ng\/Bi\u1ec7t Th\u1ef1 t\u01b0\u01a1ng \u1ee9ng.<\/p>\n

<\/p>\n

1.8. “Service” includes accommodation, food and beverage services, or other supplementary services provided by Hoi An Royal Beachfront Villas at any given time.<\/p>\n

<\/p>\n

1.9. “Voucher” means a physical or electronic service purchase card\/voucher issued by Hoi An Royal Beachfront Villas to record the right to use services for the voucher holder. The use of Vouchers must comply with the GTC, related agreements on voucher provision, and detailed regulations on each Voucher.<\/p>\n

1.10. \u201cTh\u1eddi \u0110i\u1ec3m S\u1eed D\u1ee5ng Voucher\u201d l\u00e0 th\u1eddi \u0111i\u1ec3m nh\u1eadn ph\u00f2ng\/bi\u1ec7t th\u1ef1 \u0111\u1ed1i v\u1edbi d\u1ecbch v\u1ee5 l\u01b0u tr\u00fa ho\u1eb7c th\u1eddi \u0111i\u1ec3m m\u00e0 Kh\u00e1ch h\u00e0ng y\u00eau c\u1ea7u s\u1eed d\u1ee5ng\/kh\u1ea5u tr\u1eeb Voucher b\u1eb1ng b\u1ea5t k\u1ef3 h\u00ecnh th\u1ee9c n\u00e0o t\u1ea1i C\u01a1 S\u1edf Kinh Doanh nh\u01b0ng ph\u1ea3i tr\u01b0\u1edbc th\u1eddi \u0111i\u1ec3m C\u01a1 S\u1edf Kinh Doanh xu\u1ea5t h\u00f3a \u0111\u01a1n ho\u1eb7c phi\u1ebfu thanh to\u00e1n.<\/p>\n

1.11. \u201cNg\u00e0y L\u00e0m Vi\u1ec7c\u201d l\u00e0 ng\u00e0y t\u1eeb th\u1ee9 2 \u0111\u1ebfn th\u1ee9 6 h\u00e0ng tu\u1ea7n, tr\u1eeb ng\u00e0y ngh\u1ec9, ng\u00e0y l\u1ec5 theo quy \u0111\u1ecbnh ph\u00e1p lu\u1eadt.<\/p>\n

Article 2. Obligations of Hoi An Royal Beachfront Villas and Customers<\/strong><\/h2>\n

2.1. Obligations of Hoi An Royal Beachfront Villas<\/p>\n

<\/p>\n

Cung c\u1ea5p d\u1ecbch v\u1ee5 m\u1ed9t c\u00e1ch t\u1eadn t\u00e2m v\u00e0 chu \u0111\u00e1o nh\u1ea5t.<\/p>\n

<\/p>\n

B\u1ea3o qu\u1ea3n v\u00e0 giao l\u1ea1i cho Kh\u00e1ch h\u00e0ng (khi \u0111\u01b0\u1ee3c y\u00eau c\u1ea7u) c\u00e1c t\u00e0i li\u1ec7u\/th\u00f4ng tin m\u00e0 Kh\u00e1ch h\u00e0ng \u0111\u00e3 cung c\u1ea5p cho Wyndham Hoi An Royal Beachfront Resort & Villas.<\/p>\n

Th\u1ef1c hi\u1ec7n vi\u1ec7c \u0111\u1eb7t ph\u00f2ng v\u00e0 thanh to\u00e1n \u0111\u1ea7y \u0111\u1ee7 theo c\u00e1c quy \u0111\u1ecbnh n\u00eau ra t\u1ea1i \u0111\u00e2y.<\/p>\n

Cung c\u1ea5p \u0111\u1ea7y \u0111\u1ee7 c\u00e1c gi\u1ea5y t\u1edd (nh\u01b0 gi\u1ea5y t\u1edd t\u00f9y th\u00e2n) v\u00e0 c\u00e1c th\u00f4ng tin c\u1ea7n thi\u1ebft (nh\u01b0 ng\u00e0y gi\u1edd nh\u1eadn ph\u00f2ng, tr\u1ea3 ph\u00f2ng) \u0111\u1ec3 C\u01a1 S\u1edf Kinh Doanh c\u00f3 th\u1ec3 cung c\u1ea5p d\u1ecbch v\u1ee5 m\u1ed9t c\u00e1ch t\u1ed1t nh\u1ea5t.<\/p>\n

Comply with the regulations of Hoi An Royal Beachfront Villas and cooperate accordingly.<\/p>\n

<\/p>\n

\u0110i\u1ec1u 3. D\u1ecbch V\u1ee5 \u0102n U\u1ed1ng<\/strong><\/h2>\n

<\/p>\n

a. C\u00e1c d\u1ecbch v\u1ee5 \u0103n u\u1ed1ng s\u1ebd \u0111\u01b0\u1ee3c ph\u1ee5c v\u1ee5 theo nguy\u00ean t\u1eafc ng\u01b0\u1eddi \u0111\u1ebfn tr\u01b0\u1edbc \u0111\u01b0\u1ee3c ph\u1ee5c v\u1ee5 tr\u01b0\u1edbc. Th\u1eddi gian m\u1edf c\u1eeda v\u00e0 th\u00f4ng tin li\u00ean h\u1ec7 \u0111\u1eb7t ch\u1ed7 c\u1ee7a c\u00e1c C\u01a1 S\u1edf Kinh Doanh cung c\u1ea5p d\u1ecbch v\u1ee5 \u0103n u\u1ed1ng s\u1ebd \u0111\u01b0\u1ee3c th\u00f4ng b\u00e1o t\u1ea1i C\u01a1 S\u1edf Kinh Doanh.<\/p>\n

<\/p>\n

b. Reserved seats at specific food and beverage Business Facilities will be held for a maximum of 30 minutes past the reserved arrival time. Hoi An Royal Beachfront Villas cannot guarantee reserved seating if Customers arrive later than the reserved time, regardless of reason.<\/p>\n

<\/p>\n

\u0110i\u1ec1u 4. Voucher<\/strong><\/h2>\n

<\/p>\n

Unless otherwise agreed or Hoi An Royal Beachfront Villas issues a different policy, Customers using Vouchers must comply with the GTC, other conditions in the contract or agreements related to voucher provision, the Voucher itself, and\/or the service provision policy corresponding to the type of Voucher issued by Hoi An Royal Beachfront Villas at the time of use. Original Vouchers must be presented and collected at Voucher Usage Time. If Customers cannot present a valid Voucher, they must pay directly the Published Price at the time of service use.<\/p>\n

<\/p>\n

\u0110i\u1ec1u 5. L\u1ed7i K\u1ef9 Thu\u1eadt<\/strong><\/h2>\n

<\/p>\n

5.1. Hoi An Royal Beachfront Villas will make reasonable efforts to maintain the normal operation of the Website. However, Hoi An Royal Beachfront Villas does not guarantee that: (i) The functions and supporting tools provided on the Website will be uninterrupted or error-free; (ii) The Website is free from viruses, malware, or other harmful components; and\/or (iii) All data provided on the Website is accurate and free from technical errors during data creation.<\/p>\n

<\/p>\n

5.2. In the event of technical issues such as equipment failure, software errors, internet system errors, virus infection on the Website (\u201cTechnical Errors\u201d), or errors in data published on the Website such as pricing errors (\u201cData Errors\u201d), Hoi An Royal Beachfront Villas will make reasonable efforts to fix the Technical Errors or adjust the Data Errors as soon as possible.<\/p>\n

<\/p>\n

5.3. Hoi An Royal Beachfront Villas reserves the right to refuse to execute transactions established: a. Due to Technical Errors; b. Based on Data Errors; and\/or c. Affected by Technical Errors and\/or Data Errors regardless of the source of those errors. For clarity, a Data Error is an error on the Website (e.g., price, conditions) that a reasonable person would not consider normal. In case of refusal to execute the transaction, Hoi An Royal Beachfront Villas will notify you via the email provided when booking the service, and refund any related payment made to Hoi An Royal Beachfront Villas within a maximum of 45 working days.<\/p>\n

<\/p>\n

5.4. Except for the obligation to refund payments received as stated in Clause (c), Hoi An Royal Beachfront Villas shall not be liable for any loss or damage, direct or indirect, that you may incur arising from or related to Technical Errors and\/or Data Errors.<\/p>\n

\u0110i\u1ec1u 6. Th\u00f4ng tin s\u1eed d\u1ee5ng d\u1ecbch v\u1ee5<\/strong><\/h2>\n

Services provided by Hoi An Royal Beachfront Villas will be served directly at Ha My Dong A, Dien Ban, Quang Nam.<\/p>\n

<\/p>\n

\u0110i\u1ec1u 7. B\u1ea5t Kh\u1ea3 Kh\u00e1ng<\/strong><\/h2>\n

<\/p>\n

Hoi An Royal Beachfront Villas, Customers, or Partners shall not be responsible for any delay or failure to perform the contract\/agreement for service provision and use (except payment obligations) or any rights and obligations of each Party under the GTC if such delay or failure is caused by a Force Majeure event. Force Majeure events include but are not limited to: storms, floods, earthquakes, war, fire, changes in state policies or laws, or other objective events, provided that:<\/p>\n

7.1. S\u1ef1 ki\u1ec7n \u0111\u00f3 ho\u00e0n to\u00e0n n\u1eb1m ngo\u00e0i s\u1ef1 ki\u1ec3m so\u00e1t h\u1ee3p l\u00fd ho\u1eb7c kh\u00f4ng do l\u1ed7i ho\u1eb7c s\u01a1 su\u1ea5t c\u1ee7a B\u00ean b\u1ecb \u1ea3nh h\u01b0\u1edfng b\u1edfi s\u1ef1 ki\u1ec7n B\u1ea5t Kh\u1ea3 Kh\u00e1ng, m\u1eb7c d\u00f9 B\u00ean \u0111\u00f3 \u0111\u00e3 \u00e1p d\u1ee5ng m\u1ecdi bi\u1ec7n ph\u00e1p c\u1ea7n thi\u1ebft v\u00e0 trong kh\u1ea3 n\u0103ng cho ph\u00e9p \u0111\u1ec3 \u0111\u1ec1 ph\u00f2ng, kh\u1eafc ph\u1ee5c ho\u1eb7c gi\u1ea3m b\u1edbt thi\u1ec7t h\u1ea1i, g\u00e2y ra vi\u1ec7c ch\u1eadm tr\u1ec5 ho\u1eb7c gi\u00e1n \u0111o\u1ea1n, \u0111\u00ecnh tr\u1ec7 vi\u1ec7c th\u1ef1c hi\u1ec7n ngh\u0129a v\u1ee5 trong H\u1ee3p \u0110\u1ed3ng n\u00e0y;<\/p>\n

Tr\u1eeb khi c\u00f3 \u00fd ki\u1ebfn kh\u00e1c c\u1ee7a Wyndham Hoi An Royal Beachfront Resort & Villas b\u1eb1ng v\u0103n b\u1ea3n, Kh\u00e1ch h\u00e0ng ho\u1eb7c \u0110\u1ed1i T\u00e1c v\u1eabn ph\u1ea3i th\u1ef1c hi\u1ec7n c\u00e1c ngh\u0129a v\u1ee5 c\u1ee7a m\u00ecnh theo H\u1ee3p \u0111\u1ed3ng ph\u00f9 h\u1ee3p v\u1edbi ho\u00e0n c\u1ea3nh th\u1ef1c t\u1ebf cho ph\u00e9p v\u00e0 ph\u1ea3i ti\u1ebfn h\u00e0nh m\u1ecdi bi\u1ec7n ph\u00e1p h\u1ee3p l\u00fd \u0111\u1ec3 th\u1ef1c hi\u1ec7n c\u00e1c ph\u1ea7n vi\u1ec7c kh\u00f4ng b\u1ecb s\u1ef1 ki\u1ec7n B\u1ea5t Kh\u1ea3 Kh\u00e1ng g\u00e2y tr\u1edf ng\u1ea1i.<\/p>\n

T\u1ea5t c\u1ea3 c\u00e1c tranh ch\u1ea5p ph\u00e1t sinh li\u00ean quan \u0111\u1ebfn vi\u1ec7c y\u00eau c\u1ea7u, s\u1eed d\u1ee5ng D\u1ecbch V\u1ee5 c\u1ee7a Kh\u00e1ch h\u00e0ng\/ \u0110\u1ed1i T\u00e1c theo quy \u0111\u1ecbnh t\u1ea1i H\u1ee3p \u0110\u1ed3ng v\u00e0 \u0110KGDC s\u1ebd \u0111\u01b0\u1ee3c c\u1ed1 g\u1eafng gi\u1ea3i quy\u1ebft th\u00f4ng qua th\u01b0\u01a1ng l\u01b0\u1ee3ng.
