TERMS AND CONDITIONS OF USE
These General Transaction Conditions (“GTC”) apply to Customers and Partners who use or book services at business facilities under the brand Royal Beachfront Villas & Spa Danang, and other brands owned, managed and/or operated by Royal Beachfront Villas & Spa Danang (if any) (“Business Facilities”). Customers, Partners, and Royal Beachfront Villas & Spa Danang are each referred to individually as a ‘Party’ and collectively as the ‘Parties.”
Customers/Partners agree and acknowledge that by submitting a booking request, table reservation, and/or additional services request (collectively “Service Request”) to Royal Beachfront Villas & Spa Danang and having the service confirmed by Royal Beachfront Villas & Spa Danang, Customers and Partners have read and accepted the GTC and any amendments posted from time to time on the official website of Royal Beachfront Villas & Spa Danang at Ha My Dong A, Dien Ban Dong, Da Nang city, and linked booking sites (if any) (“Website”), as well as service provision policies and service quotes notified and provided by Royal Beachfront Villas & Spa Danang from time to time.
The GTC is an integral part of the contract, agreement for service provision or Service Request placed via the Website and confirmed between Royal Beachfront Villas & Spa Danang and Customers/Partners (“Contract”).
Article 1. Definitions
1.1. “Royal Beachfront Villas & Spa Danang” means VinaCapital Hoi An Tourism Co., Ltd., affiliated companies of VinaCapital Hoi An Tourism Co., Ltd., and branches, representative offices, business locations of Royal Beachfront Villas & Spa Danang and its affiliated companies established nationwide at any given time.
1.2. “Partner” means travel agents/tour operators/businesses/organizations or individuals entering into a Contract with Royal Beachfront Villas & Spa Danang.
1.3. “Customer” means individuals using services of Royal Beachfront Villas & Spa Danang for direct consumption purposes, not for resale to other individuals or organizations.
1.4. “Individual Guest” means a Customer or group of Customers booking up to 8 rooms/nights or 8 villas/nights.
1.5. “Group Guest” means a group of Customers booking 9 rooms/nights or more, or 9 villas/nights or more, and/or services (banquets, events, and other services).
1.6. “Published Price” means the room/villa price or service price listed at the Business Facilities and on the Website, subject to change at any time.
1.7. “Room/Villa Package Price” means the price for overnight stays including the services listed in the corresponding Room/Villa Package.
1.8. “Service” includes accommodation, food and beverage services, or other supplementary services provided by Royal Beachfront Villas & Spa Danang at any given time.
1.9. “Voucher” means a physical or electronic service purchase card/voucher issued by Royal Beachfront Villas & Spa Danang to record the right to use services for the voucher holder. The use of Vouchers must comply with the GTC, related agreements on voucher provision, and detailed regulations on each Voucher.
1.10. “Voucher Usage Time” means the check-in time for accommodation services or the time when the Customer requests to use/redeem the Voucher in any form at the Business Facilities but must be before the Business Facilities issue an invoice or payment receipt.
1.11. “Working Day” means Monday through Friday, excluding holidays and legal public holidays.
Article 2. Obligations of Royal Beachfront Villas & Spa Danang and Customers
2.1. Obligations of Royal Beachfront Villas & Spa Danang
Provide services with utmost dedication and care.
Safeguard and return documents/information provided by Customers upon request.
Notify Customers immediately if any issue arises that affects the ability to provide services, and propose reasonable solutions.
Keep confidential and use information provided by Customers in accordance with regulations herein and applicable laws.
Fulfill other obligations as prescribed by current law.
2.2. Obligations of Customers
Make bookings and full payments according to regulations herein.
Provide all required documents (such as identification) and necessary information (such as check-in/check-out times) to ensure the best service from Business Facilities.
Comply with the regulations of Royal Beachfront Villas & Spa Danang and cooperate accordingly.
Article 3. Food and Beverage Services
a. Food and beverage services will be served on a first-come, first-served basis. Opening hours and contact information for reservations at Business Facilities providing food and beverage services will be announced at the Business Facilities.
b. Reserved seats at specific food and beverage Business Facilities will be held for a maximum of 30 minutes past the reserved arrival time. Royal Beachfront Villas & Spa Danang cannot guarantee reserved seating if Customers arrive later than the reserved time, regardless of reason.
Article 4. Vouchers
Unless otherwise agreed or Royal Beachfront Villas & Spa Danang issues a different policy, Customers using Vouchers must comply with the GTC, other conditions in the contract or agreements related to voucher provision, the Voucher itself, and/or the service provision policy corresponding to the type of Voucher issued by Royal Beachfront Villas & Spa Danang at the time of use. Original Vouchers must be presented and collected at Voucher Usage Time. If Customers cannot present a valid Voucher, they must pay directly the Published Price at the time of service use.
Article 5. Technical Errors
5.1. Royal Beachfront Villas & Spa Danang will make reasonable efforts to maintain the normal operation of the Website. However, Royal Beachfront Villas & Spa Danang does not guarantee that: (i) The functions and supporting tools provided on the Website will be uninterrupted or error-free; (ii) The Website is free from viruses, malware, or other harmful components; and/or (iii) All data provided on the Website is accurate and free from technical errors during data creation.
5.2. In the event of technical issues such as equipment failure, software errors, internet system errors, virus infection on the Website (“Technical Errors”), or errors in data published on the Website such as pricing errors (“Data Errors”), Royal Beachfront Villas & Spa Danang will make reasonable efforts to fix the Technical Errors or adjust the Data Errors as soon as possible.
5.3. Royal Beachfront Villas & Spa Danang reserves the right to refuse to execute transactions established: a. Due to Technical Errors; b. Based on Data Errors; and/or c. Affected by Technical Errors and/or Data Errors regardless of the source of those errors. For clarity, a Data Error is an error on the Website (e.g., price, conditions) that a reasonable person would not consider normal. In case of refusal to execute the transaction, Royal Beachfront Villas & Spa Danang will notify you via the email provided when booking the service, and refund any related payment made to Royal Beachfront Villas & Spa Danang within a maximum of 45 working days.
5.4. Except for the obligation to refund payments received as stated in Clause (c), Royal Beachfront Villas & Spa Danang shall not be liable for any loss or damage, direct or indirect, that you may incur arising from or related to Technical Errors and/or Data Errors.
Article 6. Service Usage Information
Services provided by Royal Beachfront Villas & Spa Danang will be served directly at Ha My Dong A, Dien Ban, Quang Nam.
Article 7. Force Majeure
Royal Beachfront Villas & Spa Danang, Customers, or Partners shall not be responsible for any delay or failure to perform the contract/agreement for service provision and use (except payment obligations) or any rights and obligations of each Party under the GTC if such delay or failure is caused by a Force Majeure event. Force Majeure events include but are not limited to: storms, floods, earthquakes, war, fire, changes in state policies or laws, or other objective events, provided that:
7.1. The event is beyond reasonable control of the affected Party, without fault or negligence, despite taking all necessary measures to mitigate damage, causing delay, interruption, or suspension of contract performance;
7.2. Within 3 days of the event, the affected Party shall notify the other Party in writing detailing the event, measures taken to prevent and overcome damage, expected recovery plans, and resolution measures;
7.3. Unless otherwise agreed, Parties must continue to perform unaffected obligations as permitted by actual circumstances and take all reasonable measures to perform unaffected parts not hindered by the Force Majeure event.
Article 8. Governing Law and Dispute Resolution
8.1. The provisions of the GTC shall be governed by the laws of Vietnam.
8.2. All disputes arising in connection with the request or use of Services by Customers/Partners under the Contract and GTC shall be attempted to be resolved through negotiation. If negotiation fails within 30 days from the date the dispute arises, the Parties have the right to submit the dispute to a competent court in Vietnam in accordance with the law.
Article 9. Disclaimer
This Website is owned and operated by VinaCapital Hoi An Tourism Co., Ltd. (“Royal Beachfront Villas & Spa Danang”), a company established and operating under Vietnamese law with its registered office at Ha My Dong A, Dien Ban Dong, Da Nang city. The content on this Website is general information for reference purposes only. Although we strive to keep information complete and accurate, Royal Beachfront Villas & Spa Danang does not explicitly or implicitly represent or warrant the completeness, accuracy, reliability, or suitability of this Website or its contents. Use of the Website and reliance on its content is at the visitor’s (“Visitor”) own risk.
